Mr. Ryerson focuses his practice on business and corporate law with an emphasis on mergers and acquisitions, private equity and venture capital, and financial institutions work.
Mr. Ryerson represents international, national and regional buy and sell-side entities in advanced stock purchases, asset acquisitions, mergers, consolidations, spin-offs, joint ventures and developmental associations. He has prepared and completed numerous equity, debt, and convertible debt securities offerings on behalf of both issuing entities and angel and institutional investors, including the composition and evaluation of PPMs, term sheets, LOIs and subscription and contribution agreements. He also regularly counsels financial institutions in the negotiation and drafting of loan documentation, across a wide-range of sectors, and in a wide-range of amounts, including with respect to term notes, revolving lines of credit, security pledges, guarantees and intercreditor and subordination issues. Additionally, Mr. Ryerson advises clients in the manufacturing, information technology, multimedia, retail, biomedical, communications, food and beverage, energy, and transportation and service industries on a variety of corporate matters, including those relating to employment, contractor, outsourcing, management, consulting, supply, distribution, sales, advertising, marketing, sponsorship, procurement, royalty, technology transfer, licensing, sublicensing, reseller licensing, OEM, research, confidentiality and logistics relationships.
Prior to joining the firm, Mr. Ryerson was a corporate associate with a boutique law firm focusing predominately on private equity and venture capital. While in law school, he was a law clerk for a commercial litigation firm and an in-house counsel intern for a subsidiary of the Fortune 100 company SuperValu, Inc., where he worked on sales, marketing, distribution, advertising, transportation, supply and real estate transactions.
Mr. Ryerson graduated cum laude from Marquette University in 2002 with his B.A. in Economics and Political Science and received his J.D. from St. Louis University School of Law in 2005. He is admitted to practice in the States of Illinois, Missouri and New York.
