Mr. Gingerich represents multinational clients on a variety of complex corporate transactions with a primary focus on mergers and acquisitions, private equity, venture capital, and securities.
His most recent experience includes:
- Representing both buyers and sellers in stock and
asset acquisitions and strategic transactions.
- Advising publicly and privately held entities in
corporate and commercial matters, including entity formation.
- Reviewing, drafting, and negotiating a variety of
- Counseling public reporting companies on disclosure
duties, including SEC periodic reporting and regulatory compliance.
- Advising issuers in connection with exempt
securities filings with the SEC and various state agencies.
Prior to joining Howard & Howard, Mr.
Gingerich was a Summer Associate with the firm. Before shifting to the legal
profession, he worked in business development within the aerospace and defense industry,
and most recently worked with a boutique investment bank focusing on sell-side
Gingerich received his B.S., magna cum
laude, from Northeastern University in 2012 and his J.D. from Loyola
University Chicago School of Law in 2015 where he was Editor-in-Chief of the Loyola University Chicago International Law
Review, a member of the Loyola Business Law Clinic, and a member of
Loyola’s transactional competition team. He is licensed to practice in the
State of Illinois.
